OpenAI lawyers are preparing options that include sending Apple a notice alleging breach of contract, according to people familiar with the matter. No lawsuit has been filed, and the company still hopes to avoid litigation.

The dispute centers on a partnership announced in June 2024 that integrated ChatGPT into Apple’s ecosystem. OpenAI expected the deal to drive billions of dollars in subscriptions by exposing its chatbot to hundreds of millions of iPhone users.

Instead, OpenAI believes Apple’s implementation restricted user adoption. Users must specifically ask Siri to use ChatGPT, limiting discovery and reducing engagement, according to internal user studies conducted by OpenAI, further weakening the expected impact of the OpenAI Apple Partnership.

“The integration never reached the scale OpenAI anticipated,” said technology analyst Dan Ives of Wedbush Securities. “Both companies entered the arrangement with very different expectations.”

Apple shares fell as much as 1.2% Thursday to a session low of $295.38 as reports of the dispute emerged.

Apple Expands AI Strategy Beyond OpenAI

OpenAI had expected deeper integration across Apple services, including more prominent placement within Siri and broader promotion across iPhones, iPads and Mac computers. Negotiations to revise the agreement have stalled, according to the report.

Apple has also raised concerns internally about OpenAI’s approach to user privacy and data protection. Tensions increased after OpenAI acquired a startup co-founded by former Apple design chief Jony Ive, positioning the AI company as a potential hardware competitor.

The companies have also clashed over recruiting. Apple executives reportedly have been frustrated by OpenAI hiring engineers from Apple’s hardware teams with compensation packages worth millions of dollars more in stock incentives, adding fresh strain to the OpenAI Apple Partnership.

At the same time, Apple is broadening its AI partnerships. The company is testing integrations with rival AI providers, including Anthropic’s Claude and Google Gemini, ahead of its Worldwide Developers Conference on June 8.

Apple is expected to introduce expanded Siri capabilities as part of the iOS 27 operating system later this year. The company also reportedly pays Google about $1 billion annually for AI-related technology support.

Earlier this month, Apple settled a $250 million class-action lawsuit alleging false advertising tied to Siri features promoted in 2024 that remain unavailable or incomplete, increasing scrutiny around the future of the OpenAI Apple Partnership.
